Langlois leads private placement exceeding C$910 million for GardaWorld

GardaWorld Security Corporation has announced the completion of two significant financial transactions: the issuance of senior secured notes due in 2031 in an aggregate principal amount of C$910 million (US$650 million) at a rate of 6.500% due in 2031, as well as the conditional redemption of senior secured notes at 4.625% maturing in 2027, with an outstanding principal of nearly C$800 million (US$570 million).

Langlois is proud to have once again served as Canadian legal counsel for GardaWorld in connection with the closing of this important North American private placement and the completion of the notes redemption. The notes were distributed by a syndicate of underwriters and joint bookrunner managers, including BofA Securities, Inc., J.P. Morgan Securities LLC, RBC Capital Markets, LLC, Scotia Capital (USA) Inc., UBS Securities LLC, ATB Securities Inc., TD Securities (USA) LLC, Barclays Capital Inc. and Jefferies LLC.

Building on a long-standing collaboration, GardaWorld has once again placed its trust in Langlois to lead a strategic transaction, a decision that reflects the strong relationship developed over the years and recognition of our expertise in securities law.

The transaction was particularly complex as it also involved granting collateral, pari passu with the company’s senior bank lenders and other senior secured notes, over all movable assets of several North American subsidiaries of GardaWorld. The successful completion of these operations relied on the experience and efficiency of the Langlois team. Despite a tight schedule and a volatile financial market, our team adapted to the requirements of the underwriters, trustees and collateral agents, enabling the successful closing of this major transaction.

Led by Pierre-Hubert Séguin and Éric Archambault, a team from our Capital Markets group handled all legal aspects, including securities, making collateral and security arrangements, intellectual property, corporate and tax law.
