Yixiao focuses his practice on the various facets of corporate law. He assists clients in a variety of transactions, including private and public mergers and acquisitions, corporate reorganizations and financings. He also drafts and negotiates commercial contracts and advises clients on general corporate matters.

Prior to joining the firm, Yixiao practised at two large Canadian law firms.

Mergers and acquisitions

Represented an American retail cloud services company in its US$49-million acquisition of a Canadian SaaS commerce technology solutions company.

Represented a European pharmaceutical company in its acquisition of a majority stake in a Canadian company specializing in the development and commercialization of medical equipment, and reorganization of the acquired company.

Acted as Canadian counsel for a Nasdaq-listed pharmaceutical issuer in its acquisition of a TSX- and Nasdaq-listed issuer specializing in medical instrument research, development and commercialization.

Real estate projects

Represented a major Canadian diversified real estate investment trust in its $5.7-billion sale to an entity created by a consortium led by one of Canada’s largest privately held real estate companies.

Financing

Represented a government lender with its electric bus investment in the province of Québec, including a $15-million credit facility arrangement in favour of a Québec school bus supplier and a $400-million credit facility arrangement in favour of an association of several corporations in the passenger transportation sector.

Represented a Canadian private placement leader in North America in the creation of various private equity continuation funds and with respect to structuring and financing its private equity funds.
