Catherine Vaillancourt supports the members of the Corporate and Commercial Law group with corporate law matters. She assists lawyers in a variety of areas, particularly mergers and acquisitions, and due diligence, as well as tax, commercial and corporate reorganizations. She prepares documents for incorporations, amendments, continuances, wind-downs, extra-provincial registrations, rollovers, estates freezes and other transactional procedures. She also attends the closing preparations and closing sessions with the lawyers.

She reviews corporate records during due diligence and ensures their proper keeping. She also performs various searches in computerized registers and databases, analyzes search results and drafts the necessary supporting reports for the firm’s legal opinions.

In particular, Catherine has served the following clients:

  • The main shareholders of IBS Tuboquip, as part of its acquisition by Ficodis, a major Québec industrial supply distribution group.
  • iGuzzini illuminazione S.p.A., an international leader in architectural lighting and a member of the Fagerhult Group, on its repurchase of the remaining 30% of shares of Sistemalux, a distributor of European lighting systems.
  • Solina Belgium, a major player in the salty food ingredients market in Europe, in its acquisition of Berthelet Food Products, a Québec-based family business that has been in operation for 60 years and specializes in soups, sauce blends, spices and seasonings, dessert toppings and dairy bar items.
  • goPeer Corporation, a Toronto-based FinTech start-up operating Canada’s exempt market in all provinces, with respect to all aspects of preparing its offering memorandum, its registration as an exempt market dealer, its regulatory compliance and drafting the contractual loan agreements required for goPeer’s online consumer lending model, the first of its kind in Canada.
  • Victoriaville & Co., one of the largest wood casket manufacturers in North America, in its acquisition of all the shares of Alliance St-Laurent Casket Corporation, a subsidiary of Matthews International Corporation based in Edmundston, New-Brunswick.
  • The shareholders and directors of Clauger SAS, a French multinational specializing in industrial refrigeration with a presence in 90 countries and nearly 1,000 employees, with respect to its investment in Soteck inc., an agri-food consulting engineering firm and general contractor well established in Québec.
  • A major French corporation, a leading global aerospace manufacturer and distributor, with respect to its acquisition of all the shares and intellectual property portfolio of a Québec designer and manufacturer of custom masking components for the aerospace industry.
  • The Greater Montréal Real Estate Board, the Québec City Real Estate Board and the Laurentians Real Estate Board, together comprising approximately 12,000 brokerage and real estate brokerage members in Québec, as well as Centris Corporation inc., a corporation wholly owned by the Greater Montréal Real Estate Board, in connection with their legal amalgamation under the Companies Act, to form the new Québec Professional Association of Real Estate Brokers.
  • AGF Access Group inc., in connection with the acquisition of Institut d’Échafaudage du Québec (I.E.Q.), a Saguenay-based corporation that operates a rental, installation and sales business of access and shoring scaffolding equipment for the industrial sector and provides training to specialized workers.
  • Québec’s leading pre-hospital emergency transporter, in the largest transaction in its history: the acquisition of all the assets and real estate of an ambulance service corporation with operations in Abitibi-Témiscamingue and Northern Québec.
  • APY SAS, a customized professional IT solutions provider recognized for the design and integration of its products firmly established in Europe, in the acquisition of all the shares of 3Di Synthèses, a Montréal-based digital production solutions provider to video game, video, TV and film producers.
  • Avant-Garde Sécurité inc., in its acquisition of all the shares of Consultants S.P.I. inc.
