  • Regulatory Compliance. Identifying the legal and regulatory framework applicable to the entity (here and in its other jurisdictions, if necessary) and the specific competition, anti-trust, protection of personal information and data requirements that may apply. Special attention is also paid to the laws and regulations that apply in highly regulated industries.
  • Developing new governance and accountability policies. Advice on ESG factors. Making adjustments to articles of incorporation and internal by-laws based on the specifics of the new structure.
  • Tax. Analyzing tax implications to plan and optimize the tax structure of the new entity, including capital gains and losses, federal and provincial taxes, taxes (QST and GST/HST) and transfers of property and transactions between related entities.
  • Commercial contracts. Preparing an inventory of the entity’s contracts, as both supplier and buyer. Identifying any changes to be made and obtaining consent from the parties to these contracts where necessary.
  • Intellectual property. Preparing an inventory of intangible assets (copyrights, trademarks, industrial designs, trade secrets, etc.) and advising for optimal management and value enhancement.
  • Human capital. Advising on all aspects of employment and individual and collective labour relations, including employment contracts and collective bargaining agreements, as well as pension plans and employee benefits.
  • Mediation, arbitration and dispute resolution. Assisting in identifying and managing legal risks and preventing disputes.
