• Advised Garda World Security Corporation in connection with its issue of senior secured notes on the North American market for aggregate gross proceeds of US$400 million.
• Advised LSL Pharma Group in its listing on the TSX Venture Exchange by way of a reverse takeover and concurrent private placement for a total value of CA$55.9 million.
• Represented Garda World Security Corporation in connection with an incremental syndicated financing to its Credit Agreement, increasing its existing term loan by approximately $925 million.
• Represented Garda World Security Corporation with respect to a private placement of preferred shares for gross proceeds of $300 million with Investissement Québec.
• Represented issuer Imperial Mining Group, a publicly held scandium exploration company, in several private placements with a total value of more than $3.7 million.
• Advised an investor in a private placement of US$3 million in the Entourage Seven real estate project located in Florida.
• Represented GardaWorld Security Corporation in its issuance of US$500 million in senior unsecured notes in the North American market.
• Represented Laboratoire LSL, an issuing pharmaceutical company, in connection with a private placement of $5 million worth of debentures with Industrial Alliance.
• Represented Fleming Capital Corporation in obtaining a bridge loan in support of a £3.6 billion hostile bid for the multinational G4S plc.
• Represented GardaWorld Security Corporation, a multinational, in connection with syndicated loans for US$450 million of additional credit facilities.
• Represented issuer Imperial Mining Group, a public scandium exploration company, in several private placements for a total value of more than $7.4 million.

Mergers and acquisitions

• Represented Pershimex Resources Corporation, a Québec gold mining company, in the acquisition of all the outstanding securities of Pershimex by Abcourt Mining Inc., another gold mining company, by way of a three-cornered amalgamation under the Canada Business Corporations Act.
• Represented ZoomMed Inc. in its corporate reorganization, sale of assets and change in its business in order to assign its intellectual property to KDA Group Inc., a TSX Venture Issuer listed company.
• Represented Sesami Cash Management Technologies Corporation in connection with an acquisition to purchase US-based Tidel Group, a world leader in cash management systems and technology, for US$700 million.
• Represented Sesami Cash Management Technologies Corporation in connection with a proposal to purchase the cash management division of the Gunnebo Group, a Swedish-based corporation with operations across Europe, for €45 million.
• Represented GardaWorld Cash Services Canada Corporation in a transaction valued at $65 million with INTRIA Items Inc. and Canadian Imperial Bank of Commerce (CIBC), including the acquisition of certain assets, transfer of hundreds of employees and assumption of leases across Canada, all in connection with the operation of Currency Operation Centers.
• Represented Crisis24 Intelligence Services Corporation in connection with the acquisition of Patriot Group, a US-based provider of protective services, for US$70 million.
• Represented Sesami Cash Management Technologies Corporation, as Canadian advisor, in connection with its acquisition of Germany-based Planfocus Software GmbH, a leading global fintech firm offering a cutting-edge AI cash management optimization technology, for €15 million.
• Represented Liberty Security Systems Inc. in its acquisition of an Ontario-based company, Cairn Control Systems Inc., and in its acquisition of an Alberta-based company, Boyd Security Ltd.
• Represented a client in its acquisition of Québec-based enterprises specialized in the installation of remote monitoring and alarm systems for residential, commercial and institutional use.
• Represented Sesami Intelligence Services LLC in connection with a US$220 million acquisition of the Arca Group, based in the United States and Europe, a global leader in cash technology solutions and the manufacture of teller cash recyclers for financial institutions.
• Advised Sesami Technologies in its various acquisitions in the United States and Europe worth nearly $900 million.
• Advised Whelan Corporation in the purchase of assets in the United States valued at over US$70 million.
• Advised Signalisation GW in the purchase of a service company with operations across the province of Québec for nearly $10 million.
• Advised a strategic buyer in the approximatively $50 million purchase of Liberty Group, a leading Canadian alarm services company.

Corporate and commercial sector

• Represented Garda World Security Corporation in securing CA$2.5 billion in multi-year contracts with the Canadian Air Transport Security Authority (CATSA), for more than 50% of Canadian airports.
• Advised a provider of AI-powered software solutions in negotiating significant development, hosting, and support service contracts representing a total value of several million dollars.
• Advised a security systems installer in the negotiation of a major master service agreement worth several million dollars.
