The Finkelstein Affair: the Five Co-Accused are Given Hefty Fines

This past May 20, I drew attention to the decision of the Ontario Securities Commission (OSC) in the Finkelstein case. To recap four investment advisors and a lawyer were found guilty of breaching Ontario’s Securities Act by engaging in illegal insider trading and disseminating privileged information regarding three reporting issuers.

“Comply or Explain” – What is the Status of Women’s Representation on Corporate Boards of Directors?

On December 31, 2014 the amendments to Regulation 58-101 respecting Disclosure of Corporate Governance Practices (“Regulation 58-101”) were implemented. On September 28, 2015, the Canadian Securities Administrators published CSA Multilateral Staff Notice 58-307 – Staff Review of Women on Boards and in Executive Officer Positions (the “Notice”) which summarizes the findings and conclusions from the analysis of the information provided by more than 700 reporting issuers.

Forcing a Subcontractor to Finish Performing its Contract

The Quebec Superior Court recently issued a provisional injunction to force a subcontractor that had unilaterally terminated its contract with the general contractor to return to the jobsite in order to continue performing its subcontract, the completion of which was crucial for the viability of a major multi-residential construction project.

Introduction of the Administrative Labour Tribunal and of the Commission des normes, de l’équité, de la santé et de la sécurité du travail

On June 12, 2015, Bill 42 entitled An Act to group the Commission de l’équité salariale, the Commission des normes du travail and the Commission de la santé et de la sécurité du travail and to establish the Administrative Labour Tribunal (the “Act”) received royal assent. The Act was published in the Quebec Official Gazette this past September 16.
