Langlois advises GardaWorld on the closing of major financing transactions totalling US$500M

Garda World Security Corporation (GardaWorld) has announced the completion of two significant financial transactions: the closing of the private offering of US$200 million aggregate principal amount of its 8.250% senior notes due 2032, as well as additional term loans in an aggregate principal amount of nearly US$300 million.

The notes rank pari passu with GardaWorld’s existing US$550 million aggregate principal amount of 8.250% senior notes due 2032, issued on July 25, 2024, and form a single series with those notes.

We are proud to have once again acted as Canadian legal counsel to GardaWorld in connection with these strategic transactions. This latest mandate builds on GardaWorld’s longstanding relationship with Langlois and reflects the continued confidence placed in our capital markets team.

These transactions were notable for combining a cross-border private placement of additional senior notes to qualified institutional investors in the United States and in Canada with a concurrent increase to existing term loans. Their successful completion required seamless coordination among multiple stakeholders and disciplined execution in a market where speed and precision were critical. Working within a tight timeline, our team met the requirements of GardaWorld, as well as underwriters, dealers, lenders, agents and other stakeholders, contributing to the successful closing of these strategic transactions.

Led by Pierre-Hubert Séguin and Éric Archambault, a multidisciplinary team of 19 professionals from our capital markets and banking law groups worked on all Canadian legal aspects of the transaction, including securities, security and corporate law matters.
