Langlois advises Enertrak’s minority shareholders in its acquisition by a Swedish company

Langlois is proud to have acted as legal counsel to the minority shareholders of Enertrak Inc., one of Canada’s leading distributors of HVAC (heating, ventilation, air conditioning, and refrigeration) products, in the sale of 80% of the company’s shares to a subsidiary of Beijer Ref AB, a Swedish multinational listed on Nasdaq Stockholm and a global leader in HVAC/R product distribution.

Beijer Ref is one of the world’s leading refrigeration wholesalers, with operations in 46 countries. By integrating Enertrak into its Beijer Ref North America operating segment, the Swedish company is entering the Canadian market.

Enertrak will continue to operate under its own name and remain under the direction of its current management team. The founders and current shareholders remain minority shareholders of the company.

Langlois’ mergers and acquisitions team negotiated and helped draft the transaction documentation for the sale, in addition to handling certain tax, commercial, and employment law matters for certain selling minority shareholders involved in the transaction.
