Langlois Lawyers’ France-Canada team closes major transaction in AI

Langlois Lawyers assisted a foremost French state-owned company as lead counsel in the auction process leading to the sale of all of its shares in Montréal-based artificial intelligence (AI) company ExPretio Technologies Inc. to Modaxo Group Inc., a Constellation Software Inc. company (TSX: CSU).

Headquartered in Montréal, ExPretio was founded in 2003 after more than a decade of academic research in revenue and price optimization. The company’s solutions leverage AI and big data to forecast daily customer demand and inventory optimization in real time. This enables rail and bus operators to dynamically manage seat availability and pricing in order to maximize revenue and asset utilization.

Constellation Software is a TSX-listed company with consolidated revenues of US$5 billion in 2021.

For over a year, Langlois accompanied the client through all aspects of this transaction. The entire process was led by Félix Bernard with the help of an experienced team consisting of William Hart, Olivier Scheffer, Anne-Laure Damhet, Anne-Carole Turgeon, Bruno Racine, Antoine Rancourt, Catherine Vaillancourt and Delphine Grou.

For over 25 years, the expertise of Langlois Avocats’ France-Canada team has been recognized and sought after on both sides of the Atlantic. We are able to provide sound advice to French companies wishing to do business in Canada, and more specifically in Québec, as well as to Québec companies wishing to do business in France.
