Vincent Tremblay
PartnerVincent Tremblay focuses his practice on real estate law, financing and corporate law. He frequently provides his clients with business and strategic advice, assisting them throughout the development of their business projects, whether they involve real estate or are commercial in nature. Many real estate developers regularly seek out his expertise on structuring a business (limited partnership, business corporation or partnership), structuring the holding of assets (leasing, emphyteusis, right of superficies or full ownership) and financial structuring.
He also represents clients when putting in place the financing required for real estate projects, whether this involves acquisition, construction or long-term financing. In recent years he has often advised corporations on using a syndicate of lenders to finance their commercial activities or real estate portfolios. His diversified practice allows him to act as legal advisor for government bodies, non-profit organizations, SMEs and large companies.
Before joining the firm, Vincent spent a few years practising law at a corporate financing company. He is passionate about the real estate and construction sector and has been involved in numerous major real estate and infrastructure projects across the province. He is in a position to advise his clientele at the due diligence stage, which includes title searches and drafting master agreements between business partners or the various documents required when acquiring or selling assets.
In particular, Vincent has:
Renewable energy
- Assisted a business specialized in the development of renewable energy projects, notably by drafting the option award contracts and the various surface rights deeds required for the purposes of the project. Also performed due diligence on the real estate properties involved in the project and advised the business on all regulatory and environmental aspects.
Financing – Bank syndication
- Represented and advised the syndicate of U.S. lenders that financed Blackstone’s C$2.1 billion acquisition of Cominar’s industrial portfolio of 187 properties in Québec.
Land development
- Represented and advised a tourism project developer in its acquisition of a 6-million-square-foot property to build more than 600 rental cottages.
- Represented a real estate developer in its dealings with Québec City and the Ministère de la Culture et des Communications in connection with the approval of a real estate complex comprising 50 residential and commercial units and 50 short-term lodging units in the historic quarter of Vieux-Québec.
- Represented a real estate developer in its dealings with the Ministère de l’Environnement et de la Lutte contre les changements climatiques to obtain the required approvals for a 500-unit residential development project delivered in three phases.
Real estate – Setting up a limited partnership
- Assisted a group of investors in setting up a limited partnership, particularly as regards the legal structure for and acquisition of the land sought for the construction of a seniors’ residence in the Shawinigan region. This project, worth over $70 million, is to be operated under the banner of the Château Bellevue group.
- Set up a limited partnership of six investors for a real estate project consisting of 243 residential units in the Québec City area. This mandate also included drafting the offer to purchase, due diligence and acquisition of the real estate.
- Set up a limited partnership of two investors for a real estate project consisting of 182 residential units in the Québec City area. This mandate also included drafting the offer to purchase, due diligence and acquisition of the real estate.
Dismemberment of the right of ownership
- Represented and advised a Crown corporation in the development of several million square feet of industrial land, through both emphyteutic leases and the granting of surface rights.
Financing
- Performed due diligence on multiple borrowers and cooperatives involved and developed and put in place a structure of guarantees of up to $500 million for the Fédération des caisses Desjardins du Québec, National Bank of Canada and Farm Credit Canada in connection with putting in place the security interests required under a major financing granted to Coop Avantis in the province of Québec and outside the province.
- Represented and advised a specialty food products company in refinancing its debt and operations for a total of $275 million. The bank syndicate obtained guarantees in Québec, Ontario and two U.S. states.
Real estate – Reorganization
- Represented a real estate developer specialized in social and student housing in connection with its reorganization, including the creation of a social trust.
Emphyteusis
- Represented a public body in connection with the negotiation and implementation of an emphyteusis agreement in downtown Montréal.
Financing – Real estate development
- Analyzed security and structured a financing of more than $10 million for a 490-unit residential project in the Québec City area.
Negotiation and purchase of a commercial property
- Assisted a client and negotiated with the sellers on its behalf regarding the conditions for the purchase of a commercial real estate property. Performed due diligence and put in place the corporate structure, then drafted, signed and registered the deed of sale in the land register.
