François-Alexandre Marois is a lawyer with a broad practice focused primarily on public and private M&As, capital markets and securities. He frequently represents clients of all sizes in private placements of debt and equity securities and acts on behalf of emerging companies in reverse takeovers and going-public transactions on the TSX Venture Exchange and the Canadian Securities Exchange.

François-Alexandre advises public companies from various industries on a wide range of securities law matters, including timely and continuous disclosure requirements, corporate governance, stock exchange compliance, shareholders’ meetings, and applications and interactions with securities regulatory authorities.

François-Alexandre obtained his law degree from Université Laval, where his academic performance earned him the distinction of being named on the Honour Roll of the Faculty of Law. While studying, he also clerked at the Court of Appeal of Québec for the Honourable Simon Ruel. His keen interest in corporate finance led him to complete an MBA (Global Business), which now provides him with a comprehensive understanding of complex business problems, the ability to target key issues and the capacity to devise valuable, forward-looking solutions.

Prior to his current functions, François-Alexandre articled at a national law firm.

  • GardaWorld Security Corporation in the amendment of its credit agreement to extend the maturity date of its Term B Loan and increase its existing term loans by an aggregate principal amount of US$200 million to US$2,327.5 million.
  • Pershimex Resources Corporation in its take-private transaction by way of a three-cornered amalgamation with Abcourt Mines Inc.
  • LSL Pharma Group Inc. in its listing on the TSX Venture Exchange pursuant to a reverse takeover and concurrent private placement having a combined value of C$55.9 million.
  • Scandium Canada Ltd., in several private placements of units and flow-through shares.
  • LSL Pharma Group Inc. in several private placements of units and debentures.
  • ZoomMed Inc., a publicly traded company, in its corporate reorganization involving the complete lift of a cease trade order and the sale of substantially all of its assets to KDA Group Inc.
