Lauréanne Allen is a paralegal in the Corporate and Commercial Law group. She plays an active role in mergers, acquisitions and tax and corporate reorganizations. Among other things, she drafts documents for incorporations, organizations, amendments, continuances, amalgamations, dissolutions, rollovers, estate freezes and other share-related transactions. She also assists in preparing closing documents, contracts and resolutions pertaining to the purchase and sale of assets. She reviews and ensures proper keeping of corporate records.
In addition, Lauréanne assists lawyers with financings. She helps draft agreements and other documents, performs due diligence searches in various computerized registers, and publishes various movable security interests. During due diligence, Lauréanne performs searches in various computerized registers, including the register of personal and movable real rights, the Québec land register and court dockets, as well as with various organizations (the federal Office of the Superintendent of Bankruptcy, the Federal Court of Canada), to provide the information needed to analyze the transaction and draft a diligence report.
