Joanie Gauthier focuses her practice on business and corporate law and corporate finance. She is involved at every stage of a commercial transaction, from due diligence to closing. This includes drafting, revising and reviewing contracts, agreements and other contractual documents related to a transaction. She also drafts financing offers and arranges institutional guarantees.

Joanie advises and assists mainly small and medium-sized businesses and multinationals in Canada or abroad with their various commercial projects. She also acts for financial institutions in arranging financing and taking security from contractors. Efficient, meticulous and flexible, she knows how to adjust to each client’s needs and is able to offer them services tailored to their requirements and realities and to help them achieve their objectives. Her bachelor’s studies in Social Sciences, International Development and Globalization sharpened her ability to research and analyze complex situations involving multiple parties and industries. As a result, she is able to develop customized solutions for her clients’ specific problems.

During her law studies, she served as vice-president of finance with the University of Ottawa's association of Lawyers Without Borders Canada. She was also on the Dean’s Honour List every year for her outstanding academic results.

Previously, Joanie worked for a regional firm in Lanaudière, where she had the opportunity to assist start-ups with various business development projects and helped implement personal information protection policies. She also worked for an organization devoted to facilitating access to justice for Ontario’s French-speaking population.

In particular, Joanie has served the following clients:

  • an agri-food company setting up security and renewing its financing, for a value of CA$150 million;
  • a First Nation council establishing a corporate structure and a partnership for real estate projects;
  • a horticultural company with subsidiaries in the U.S. arranging a refinancing for a total value of $75 million;
  • a U.S. corporation planning to set up a Canadian subsidiary and register it in several Canadian provinces.
