People in business circles in Montréal, Quebec City and Lévis were able to learn more about the transfer of a business, at a conference organized by Langlois lawyers held on November 1st and 8th.
During the conference participants had the opportunity to discuss with Isabelle Toupin, a partner in the firm’s business law group, Sébastien Jacques and Mathieu Vaillancourt, partners at Ernst & Young, regarding tax considerations, valuation methods, due diligence aspects, and the various legal documents that are useful or necessary for the successful transfer of a business.
Montréal, November 10, 2017 – It is with great pride that we applaud the appointment of lawyers Dominic Fiset and Julie Samson, respectively a partner and an associate in the firm’s labour law group, as administrative judges of the Administrative Labour Tribunal, effective Monday November 13, 2017.
Dominic Fiset
The professional career of Dominic Fiset has earned him a wealth of experience and the deep appreciation of the firm’s clients. Dominic joined the labour law department of Langlois Lawyers in 2012. Before his arrival, he worked for seven years as legal counsel and industrial-relations consultant for the Québec Federation of School Boards, where he advised board administrators from across the province on the application of collective agreements and provincial labour laws, grievance arbitration procedures and the prevention and resolution of grievances. In the process he developed an in-depth knowledge of compensation plans, staff classification mechanisms, employment benefits, the disciplinary process and staff turnover issues, and directly managed a number of files dealing with disabilities and occupational injuries. He was closely involved as a negotiator for French-language school boards in the 2009-2011 round of negotiations that led to the renewal of provincial collective agreements. He acted again in that capacity in 2014 and 2015.
Julie Samson
Julie Samson joined our firm in 2008 as a member of the labour law department, where she advised and represented employers in various spheres of activity before the Administrative Labour Tribunal, particularly in matters involving occupational health and safety, due to her in-depth knowledge of the industrial-accident compensation regime on the levels of financing, classification and indemnification. Prior to joining the firm, Julie worked for a major global provider of risk management, insurance, insurance brokerage and human capital consulting services, where she advised and represented employers from various fields in all aspects of their OHS cases before the Commission des normes, de l’équité, de la santé et de la sécurité du travail (CNESST) and the Administrative Labour Tribunal. Her experience also led to her involvement in the setting up of prevention mutuals when these insurers were created in 1998. Julie obtained a Civil Law degree at the University of Ottawa and a graduate diploma in business law at Université Laval. Her academic career afforded her a number of opportunities to study abroad.

An impressive career path
Marianne is well-versed in all aspects of labour and employment law, and particularly in the interpretation and application of collective agreements, occupational health and safety, psychological harassment, the protection of personal information, pay equity, employment insurance and human rights. She has been active in several files involving individual and collective employment and labour relations, and unjust dismissal disputes.
In addition, she has extensive experience before the civil courts, particularly in matters involving restrictive covenants in employment contracts and the obligation of loyalty of employees.
Marianne also acts in employment-related litigation before both the courts and various administrative tribunals. She frequently represents clients before grievance arbitration panels and the Administrative Labour Tribunal.
Moreover, she is the current chair of the Ordre des conseillers en ressources humaines agréés. She is frequently interviewed by the media on news items involving labour and employment law issues. Before joining Langlois Lawyers, she was a partner at a national law firm.

That is why we were pleased to support the Quebec federation of chambers of commerce (FCCQ) by acting as honorary chair of its second annual “Journées économiques” symposium held on November 21, 22 and 23 in Quebec City.
The symposium is an ideal occasion for members of the business community to engage with and hear from well-known speakers on economic matters and experts from various business sectors, as they look ahead to the coming year and assess the issues, stakes and challenges it will represent for businesses.
Participants had the occasion to hear Pierre Cléroux from the BDC speak on 2018’s economic perspectives, and to witness a panel discussion on the paucity of private investment in Quebec moderated by Alain Dubuc of La Presse, with panellists Henri-Paul Rousseau of Power Corporation and Emilio Imbriglio of Raymond Chabot Grant Thornton.
Sophie Brochu from Gaz Métro, David Murray from Hydro-Québec Distribution and Philippe Dunsky of Philippe Dunsky Energy Consulting discussed the challenges of transitioning to alternate forms of energy, with Pierre-Olivier Pineau of HEC Montréal acting as moderator. The subject of artificial intelligence as a major development hub was also canvassed at the symposium, and attendees were privy to a new FCCQ study of demographic challenges and labour mobility.

Langlois Lawyers’ Appellate Advocacy Group acted as advisory counsel to the appellant in a significant decision regarding banking and fraud law rendered by the Supreme Court of Canada in Teva Canada Ltd. v. TD Canada Trust. In a 5-4 decision issued in Teva’s favour, the Court clarified and refined the existing law pertaining to cheque fraud liability and the statutory defences available to banks under the Bills of Exchange Act against conversion claims. The judgment will also serve as a key precedent on the subject of stare decisis or the Court’s ability to overturn its own precedents.
