Vassilis Fasfalis’ practice focuses primarily on construction law and business law. He acts as a strategic and business advisor for a wide range of clients in the construction, infrastructure, manufacturing and natural resources sectors.

In his construction law practice, Vassilis advises construction companies and project owners at every project stage by assisting with negotiating and drafting tender documents and construction and subcontracting agreements and by reviewing and analyzing documentation to identify opportunities, anticipate risks and propose creative risk mitigation solutions. Thanks to years of experience working with clients in Québec’s Far North, Nunavut and Newfoundland and Labrador, Vassilis has developed solid expertise on construction projects in northern and remote areas.

In business law, Vassilis’ specialties include negotiating and drafting mergers and acquisitions, real estate transactions and corporate financing arrangements for various stages of the business life cycle. He advises clients on issues around integrated risk management, governance, and ethics and integrity, and assists business owners with purchase and sale transactions, corporate restructurings, business succession, international market acquisitions and setting up consortiums, joint ventures and other strategic alliances. Vassilis serves a diverse client base ranging from SMEs to major corporations and public or parapublic institutions.

Prior to joining Langlois Lawyers, Vassilis held senior legal and business affairs management positions with two major Québec construction companies; one specialized in civil engineering, mining, and industrial development, and the other in commercial and institutional construction. This experience provided opportunities to hone his expertise and understanding of the business climate and cultural specificities of the Far North, in Québec and elsewhere in Canada, and how they impact public and private infrastructure and natural resource development projects. The insights gained give Vassilis a deep understanding of the complex business issues at play in organizations, and how to most effectively support his clients’ multidisciplinary teams.

Throughout his career, Vassilis has been a frequent guest speaker on diverse topics. He has a strong record of community work and has made his mark in many spheres, including economic development, culture, health and sports.

Construction and infrastructure

Provided contract advisory, drafting, review and management services for a target cost civil works construction contract valued at over $150 million – Muskrat Falls hydroelectric generating station, Newfoundland and Labrador

Drafted and reviewed a long-term mining services agreement with construction components between a general contractor and a major TSX-listed gold mining company, valued at over $100 million

Reviewed the primary construction contract and developed civil works subcontracts for a general contractor – Romaine-4 hydroelectric generating station construction project, valued at $30 million

Reviewed the primary construction contract and developed subcontracts for a general contractor – Construction of the Nunavut government’s first long-term care facility, valued at $50 million

Drafted the construction contract for a northern access road in Nunavut serving a TSX-listed mining company and a satellite gold mining site, valued at $25 million

Reviewed the primary construction contract and developed subcontracts for a general contractor – School expansion project in northern Québec, valued at $40 million

Negotiated, drafted and developed contract documents for an industrial client – Construction and expansion of a furnace and steam supply line, valued at $25 million

Assisted a general contractor in an Indigenous partnership completing and commissioning a construction project for Defence Construction Canada in Nunavut – Project initially valued at $75 million

Implemented a range of integrated risk management processes and work methods for tender review and risk identification and mitigation for construction contractors and service companies

Business law, mergers and acquisitions

Negotiated and drafted partnership agreements and intellectual property documentation with European and American counterparts for the launch of a new company in the field of polymer and geopolymer solutions for the construction industry

Provided strategic advice, contractual review and drafting services for ancillary agreements for a regional county municipality (RCM) participating in a 450 MW wind energy development project – Hydro-Québec tender project

Provided strategic advice and drafted restructuring and refinancing agreements for Recyc RPM Inc., a Beauce-region SME in the residual plastics sorting and recycling sector, and subsequently provided restructuring advice under the Bankruptcy and Insolvency Act

Represented the purchaser, a medium-sized aluminum processor, in the acquisition of all assets of Indalex, based in North Carolina, and advised on due diligence and developing a U.S. corporate structure on behalf of a Canadian client

Represented the interests of Québec investors in the operations of an Oregon-based mining development company, and in securing financing with a London-based mining finance firm, reviewing and drafting documentation and financing arrangements and providing strategic advice on cross-border litigation

Represented a major telecommunications company (now part of Cogeco) in the acquisition of all operations of a small cable and telephone company

Represented a medium-sized aluminum processing business in the acquisition of a plant to manufacture aluminum windows and components for the transportation industry, performing due diligence and preparing legal documentation for the acquisition

Represented Desjardins Venture Capital in its acquisition of all assets and investments of Innovatech Régions ressources to create Desjardins – Innovatech fund

Represented the interests of a U.S. scrap aluminum recycling company to secure financing for Québec and Canadian assets with a NYSE-listed U.S. bank, and provided guarantees and advice to U.S. shareholders.

Represented the U.S. purchaser in the acquisition of the assets of a scrap aluminum recycling plant on Québec’s North Shore

Represented the sellers in the share purchase of a courier company, as part of a business succession

Represented the buyer in a share purchase transaction for a door and window manufacturing company, as part of a business succession

Represented the buyer in a management buyout of a company operating a large sand pit and quarry near the city of Saguenay

Other representative work

Served on the team of lawyers representing the interests of an Indigenous entrepreneur before the Supreme Court of Canada for the tax exemption of interest on investments made in the course of operating an Indigenous business (Dubé v. Canada, 2011 SCC 39)

Represented multiple entrepreneurs in developing partnership agreements with members of Indigenous communities or band councils on reserve, and provided strategic advice to position the parties for potential public or private tenders

Represented the interests of a multinational ferrosilicon company in the acquisition of the assets of a silicon metal plant, as part of proceedings under the Companies’ Creditors Arrangement Act
